1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ODACITY LLC ("Company," "we," "us," or "our"), governing your access to and use of the RankPrompt AI platform, website at rankprompt.ai, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

3. Description of Service

RankPrompt AI is a software-as-a-service (SaaS) platform that helps users discover community discussion threads that may influence AI-generated product recommendations. The Service analyzes publicly available content, generates recommendation-style prompts, identifies relevant threads, and provides participation guidance ("Seeding Kits"). The Service is intended as an analytical and guidance tool and does not guarantee any specific outcomes regarding AI citations or product visibility.

4. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it updated. You must notify us immediately of any unauthorized use of your account.

5. Subscription Plans and Pricing

The Service offers multiple subscription tiers: Free ($0/month), Hacker ($19/month), Growth ($49/month), and Agency ($99/month). Each tier includes specific entitlements regarding the number of tracked keywords, projects, revealed threads, and available features. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

6. Payment and Billing

Paid subscriptions are billed monthly through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are stated in US dollars and are non-refundable except as expressly stated in our refund policy. You are responsible for any applicable taxes.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account billing settings or the Stripe customer portal. Upon cancellation, your subscription will remain active until the end of the current billing period. We offer a 7-day money-back guarantee for first-time subscribers on paid plans. After the 7-day period, no refunds will be issued for partial billing periods. To request a refund within the guarantee period, contact [email protected].

8. Acceptable Use

You agree not to:

  • Use the Service for automated posting, spamming, or any form of platform manipulation
  • Violate the terms of service of any third-party platform (including Reddit, Hacker News, or any forum)
  • Use the Service to harass, deceive, or mislead other users or community members
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Share your account credentials or allow unauthorized access to your account
  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Service

9. Intellectual Property

The Service, including its design, features, code, and content, is owned by ODACITY LLC and protected by intellectual property laws. You retain ownership of any content you submit to the Service (such as product URLs). We retain all rights to the analysis, reports, and guidance generated by the Service. You are granted a limited, non-exclusive, non-transferable license to use the Service output for your own business purposes.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO GUARANTEES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ANALYSIS, THREAD RANKINGS, OR SEEDING GUIDANCE PROVIDED BY THE SERVICE. RESULTS MAY VARY AND ARE NOT GUARANTEED TO IMPROVE YOUR PRODUCT'S VISIBILITY IN AI-GENERATED RECOMMENDATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODACITY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ODACITY LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Wyoming, United States.
